This Critical Design Review (CDR) and Architecture Analysis Summary, including all exhibits, annexes, attachments, and any subsequently provided supplementary materials (collectively, the “CDR Document”), is the exclusive intellectual property of Titans Space Industries Inc. (“TSI”).
The contents of this CDR Document, including but not limited to, proprietary designs, specifications, methodologies, business plans, financial projections, infrastructure concepts (such as the Titans Spaceplane, the Titans OrbitalPort & Space Station (TOPSS), and global spaceport/facility plans), text, graphics, and data, are protected by United States and international copyright laws.
Unauthorized reproduction, distribution, public display, or derivative use of any part of this CDR Document is strictly prohibited and may result in severe civil and criminal penalties.
2. PROPRIETARY AND CONFIDENTIAL INFORMATION
This CDR Document contains valuable trade secrets, proprietary business information, and commercial confidential data belonging to TSI.
A. Confidentiality Obligation: By receiving and reviewing this CDR Document, the Receiver agrees that the entire content of the CDR, and any information disclosed during the response process, must be treated as Strictly Confidential. The Receiver shall not disclose, reproduce, or use such information for any purpose other than preparing a formal response to TSI’s stated requirements.
B. Limited Use: This CDR is provided solely for the purpose of allowing qualified Receiver to review the Document for potential collaboration. Use of this document or its contents to reverse-engineer, replicate, or challenge TSI’s business models, technology, or underlying feasibility is explicitly forbidden.
C. Return of Material: All hard copies and electronic versions of this CDR Document and related materials must be destroyed or returned to TSI upon request or if the Receiver is no longer actively participating in the proposal process.
3. GENERAL DISCLAIMER AND RESERVATION OF RIGHTS
A. Non-Binding Nature: This CDR Document is an invitation for proposals and is not, and shall not be construed as, an offer, contract, or a promise to enter into a contract with any Receiver. TSI reserves the absolute and sole right to modify, amend, withdraw, or cancel this CDR, in whole or in part, at any time, for any reason, without prior notice and without liability to any Receiver.
B. Right to Reject: TSI reserves the right to accept or reject any and all proposals received in response to this CDR, without explanation or justification. Furthermore, TSI reserves the right to select one or more proposals, negotiate with any Receiver, or proceed with alternative arrangements (including existing or new partners) at its sole discretion, irrespective of the content or price of any proposal submitted.
C. Forward-Looking Statements: Any statements, projections, or plans contained herein regarding future events—including the successful operation of the Single-Stage-to-Orbit (SSTO) Spaceplane, the construction of the Titans OrbitalPort & Space Station (TOPSS), the development of the spaceport in California and facilities in the USA and India, or the achievement of market targets by 2035, are forward-looking and inherently subject to significant business, economic, regulatory, and technological risks and uncertainties. This CDR Document and the entire process outlined herein shall be governed by and interpreted in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
