This Request for Proposal (RFP), including all exhibits, annexes, attachments, and any subsequently provided supplementary materials (collectively, the “RFP Document”), is the exclusive intellectual property of Titans Space Industries Inc. (“TSI”).
The contents of this RFP Document, including but not limited to, proprietary designs, specifications, methodologies, business plans, financial projections, infrastructure concepts (such as the Titans Spaceplane, the Titans OrbitalPort & Space Station (TOPSS), and global spaceport/facility plans), text, graphics, and data, are protected by United States and international copyright laws.
Unauthorized reproduction, distribution, public display, or derivative use of any part of this RFP Document is strictly prohibited and may result in severe civil and criminal penalties.
2. PROPRIETARY AND CONFIDENTIAL INFORMATION
This RFP Document contains valuable trade secrets, proprietary business information, and commercial confidential data belonging to TSI.
A. Confidentiality Obligation: By receiving and reviewing this RFP Document, the Respondent agrees that the entire content of the RFP, and any information disclosed during the response process, must be treated as Strictly Confidential. The Respondent shall not disclose, reproduce, or use such information for any purpose other than preparing a formal response to TSI’s stated requirements.
B. Limited Use: This RFP is provided solely for the purpose of allowing qualified Respondents to submit a proposal for the specified scope of work. Use of this document or its contents to reverse-engineer, replicate, or challenge TSI’s business model, technology, or underlying feasibility is explicitly forbidden.
C. Return of Material: All hard copies and electronic versions of this RFP Document and related materials must be destroyed or returned to TSI upon request or if the Respondent is no longer actively participating in the proposal process.
3. GENERAL DISCLAIMER AND RESERVATION OF RIGHTS
A. Non-Binding Nature: This RFP Document is an invitation for proposals and is not, and shall not be construed as, an offer, contract, or a promise to enter into a contract with any Respondent. TSI reserves the absolute and sole right to modify, amend, withdraw, or cancel this RFP, in whole or in part, at any time, for any reason, without prior notice and without liability to any Respondent.
B. Right to Reject: TSI reserves the right to accept or reject any and all proposals received in response to this RFP, without explanation or justification. Furthermore, TSI reserves the right to select one or more proposals, negotiate with any Respondent, or proceed with alternative arrangements (including existing or new partners) at its sole discretion, irrespective of the content or price of any proposal submitted.
C. Forward-Looking Statements: Any statements, projections, or plans contained herein regarding future events—including the successful operation of the Single-Stage-to-Orbit (SSTO) Spaceplane, the construction of the Titans OrbitalPort & Space Station (TOPSS), the development of the spaceport in California and facilities in the USA and India, or the achievement of market targets by 2035, are forward-looking and inherently subject to significant business, economic, regulatory, and technological risks and uncertainties. They represent TSI’s intentions and goals, but are not guarantees of future performance. TSI disclaims any warranty or liability for reliance on these projections.
4. RESPONDENT RESPONSIBILITY AND COSTS
A. Risk Assumption: All costs and expenses incurred by the Respondent in the preparation and submission of a proposal, including, but not limited to, preparation, travel, meetings, research, and negotiation costs, shall be borne solely by the Respondent.
B. No Reimbursement: Under no circumstances will TSI be responsible for or reimburse any Respondent for any costs or losses incurred, regardless of whether the RFP is cancelled, modified, or a contract is ultimately awarded.
C. Proposal Validity: Proposals shall be deemed valid and binding upon the Respondent for a period of at least ninety (90) days from the submission deadline, allowing TSI sufficient time for evaluation and decision-making.
5. GOVERNING LAW
This RFP Document and the entire process outlined herein shall be governed by and interpreted in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
